These Seller Terms and Conditions ("Terms") govern the access to and use of the TENH100 platform, mobile application, website, logistics network, and related services (collectively, the "Services") by sellers, vendors, stores, and other businesses approved to sell through TENH100 ("Seller," "you," or "your").
These Terms form a legally binding agreement between you and TENH100 Co., Ltd., a company registered in the Kingdom of Cambodia ("TENH100," "Company," "we," "us," or "our").
By registering as a seller, listing products, accepting orders, or otherwise using the Services as a seller, you agree to be bound by these Terms. If you do not agree, you must not use the Services as a seller.
1. Scope and Nature of the Services
1.1 TENH100 operates a technology platform that enables sellers to list, market, sell, and facilitate delivery of products to customers through the Services.
1.2 Unless expressly stated otherwise, TENH100 is not the owner, manufacturer, importer, distributor, or reseller of products offered by sellers. The sale of products to customers is made by the seller, and the seller remains responsible for its products, listings, pricing, warranties, compliance, and fulfillment obligations.
1.3 TENH100 may provide or arrange certain supporting services, including payment processing, customer support, logistics coordination, pickup scheduling, driver partner coordination, promotional support, and other marketplace tools.
1.4 TENH100 reserves the right to determine, modify, suspend, or discontinue any feature, functionality, category, program, or service at any time.
2. seller Eligibility and Onboarding
2.1 To use the Services as a seller, you must:
- be at least eighteen (18) years old and legally capable of entering into binding contracts, or be a duly registered business entity under applicable law;
- provide accurate, current, and complete registration information;
- provide any business registration documents, identity documents, licenses, tax information, bank account information, and other verification documents reasonably requested by TENH100;
- have full authority to bind the business or entity on whose behalf you are registering; and
- comply with all applicable laws, regulations, standards, and licensing requirements.
2.2 TENH100 may approve or reject any seller application in its sole discretion.
2.3 seller approval may be subject to verification, due diligence, risk review, category approval, and ongoing compliance checks.
2.4 You must promptly notify TENH100 of any change to your legal name, ownership, business registration, bank account, contact details, tax status, or licensing status.
3. seller Account
3.1 You must create and maintain a seller account to access certain features of the Services.
3.2 You are responsible for:
- maintaining the confidentiality and security of your login credentials;
- all activities conducted through your account;
- ensuring that only authorized personnel access and use your account; and
- immediately notifying TENH100 of any unauthorized access, suspected fraud, security breach, or misuse.
3.3 You may not transfer, assign, sell, or allow any third party to use your account without our prior written consent.
3.4 TENH100 may suspend, restrict, or terminate your account if we suspect fraud, policy violations, inaccurate information, unlawful conduct, excessive customer complaints, fulfillment failures, or any activity that may expose TENH100, customers, or other users to risk.
4. Electronic Communications and Notices
4.1 By using the Services, you consent to receive electronic communications from TENH100, including by email, SMS, Telegram, phone call, in-app notification, dashboard notice, or other electronic means.
4.2 You agree that electronic communications satisfy any legal requirement that such communications be in writing.
4.3 You are responsible for keeping your email address, phone number, Telegram contact, and other contact information up to date.
5. seller Listings and Product Information
5.1 The seller is solely responsible for all product listings, descriptions, prices, images, specifications, claims, offers, and other content submitted or displayed through the Services.
5.2 You must ensure that all listings are:
- accurate, complete, and not misleading;
- written in a clear and commercially reasonable manner;
- compliant with applicable laws and regulations;
- current as to price, stock, condition, specifications, and availability; and
- supported by any legally required labeling, warnings, instructions, or disclosures.
5.3 You may list only products that you are legally authorized to sell and deliver.
5.4 TENH100 may edit, remove, reject, suppress, suspend, or reclassify any listing that violates these Terms, applicable law, platform policies, quality standards, or category requirements.
5.5 TENH100 may require additional documentation, testing, proof of authenticity, invoices, permits, or compliance records for certain categories or products.
6. Prohibited and Restricted Products
6.1 sellers may not list, advertise, sell, store, or deliver any product that is illegal, unsafe, counterfeit, infringing, restricted without proper authorization, or otherwise prohibited by TENH100.
6.2 Prohibited or restricted products include, without limitation:
- money, currency, negotiable instruments, or stored value products unless expressly approved;
- illegal drugs, narcotics, controlled substances, or drug paraphernalia;
- pornography or sexually explicit material prohibited by law;
- firearms, ammunition, explosives, flammable materials, hazardous chemicals, or weapons;
- stolen goods or goods obtained unlawfully;
- counterfeit goods or goods infringing intellectual property rights;
- living animals, prohibited wildlife products, or other protected goods;
- government-controlled, age-restricted, or licensed products sold without required authorization;
- expired, unsafe, adulterated, or improperly stored products;
- lottery tickets or gambling-related items prohibited by law; and
- any product prohibited by applicable law or by TENH100 policy.
6.3 TENH100 may designate certain items as high-risk, high-value, fragile, perishable, extraordinary, or special-handling items and may impose additional conditions, reject them, or remove them at any time.
6.4 If TENH100 suspects that a product is unlawful, counterfeit, unsafe, non-compliant, or otherwise prohibited, we may immediately remove the listing, suspend the seller account, cancel related orders, hold payouts, report the matter to relevant authorities, or take any other action we consider appropriate.
7. Pricing, Promotions, and Inventory
7.1 The seller is responsible for setting and maintaining accurate product prices, discounts, promotions, variants, and stock quantities unless otherwise agreed in writing.
7.2 You may not engage in deceptive pricing practices, including fake discounts, misleading reference prices, hidden charges, bait-and-switch tactics, or inaccurate inventory displays.
7.3 If a listing contains an obvious pricing, description, or stock error, TENH100 may suspend the listing, cancel affected orders, issue refunds, or take corrective action without liability.
7.4 TENH100 may display prices in United States Dollars (USD), Cambodian Riel (KHR), or other supported currencies, and may apply rounding, display conversion, or pricing presentation rules.
7.5 TENH100 may run platform-wide campaigns, vouchers, discounts, sponsored placements, or promotional programs subject to separate commercial terms or campaign rules.
8. Orders and seller Fulfillment Obligations
8.1 When an order is placed, the seller must promptly review and either accept, prepare, or otherwise process the order in accordance with the timelines, service levels, and instructions communicated through the Services.
8.2 The seller must:
- maintain sufficient inventory for listed products;
- prepare orders accurately and on time;
- ensure all items match the customer's order and listing description;
- package products securely and appropriately for pickup, transport, and delivery;
- comply with pickup procedures, scan procedures, verification steps, and handover requirements established by TENH100; and
- cooperate with TENH100 and driver partners regarding order status, delays, substitutions, and incident handling.
8.3 The seller may not unreasonably delay, ignore, or fail to fulfill accepted orders.
8.4 Repeated stockouts, inaccurate listings, refusal to fulfill, late preparation, poor packaging, or failure to follow pickup procedures may result in penalties, order cancellation, reduced visibility, suspension, or termination.
8.5 The seller remains responsible for product quality and order accuracy at the time of handover for pickup.
9. Pickup, Delivery, and Transfer of Responsibility
9.1 Where TENH100 provides or coordinates logistics services, the seller must hand over the correct products in proper condition and packaging at the designated pickup location and within the required timeframe.
9.2 TENH100 may require pickup verification through scans, codes, digital confirmation, signatures, photos, or other proof of handover.
9.3 Risk allocation for delivery-related issues shall be determined by TENH100 based on available evidence, including scan history, pickup confirmation, packaging condition, delivery records, customer complaint evidence, and platform logs.
9.4 If an item is damaged, missing, incorrectly packed, mislabeled, unsafe, or not ready at pickup due to the seller's fault, the seller will bear the resulting losses, refunds, redelivery costs, or other reasonable charges.
9.5 If delivery fails due to customer unavailability, incorrect customer information, refusal to accept delivery, or other reasons not caused by the seller, TENH100 may determine the appropriate return, redelivery, disposal, or refund process in accordance with platform policy.
10. Fees, Commissions, Payouts, and Set-Off
10.1 In consideration for the Services, the seller agrees to pay TENH100 all applicable commissions, platform fees, payment processing fees, logistics fees, service charges, advertising fees, penalties, chargeback costs, and any other amounts communicated through the seller dashboard, fee schedule, campaign terms, or separate written agreement.
10.2 TENH100 may deduct any amounts owed by the seller from sales proceeds, reserves, pending payouts, reimbursements, campaign balances, or any other amounts payable to the seller.
10.3 TENH100 may establish payout cycles, minimum payout thresholds, reserve requirements, settlement delays, or risk holds.
10.4 Payouts may be delayed, withheld, adjusted, or reversed in cases involving suspected fraud, abnormal refunds, chargebacks, customer complaints, account verification issues, legal requests, policy violations, or unresolved disputes.
10.5 The seller is responsible for ensuring that its bank account and payout information are accurate and capable of receiving funds.
10.6 TENH100 shall not be liable for payout delays caused by inaccurate seller information, banking errors, compliance checks, technical issues, force majeure events, or third-party service provider failures.
10.7 TENH100's books, transaction logs, and platform records shall be the primary reference for settlement calculations unless the seller proves a manifest error.
11. Taxes and Invoicing
11.1 The seller is solely responsible for determining, collecting, reporting, remitting, and paying all taxes, duties, levies, fees, withholding obligations, and other governmental charges applicable to its business, products, sales, and operations, except to the extent applicable law requires otherwise.
11.2 The seller is responsible for issuing tax invoices, receipts, and other documentation required by law in connection with its sales.
11.3 TENH100 may request tax registration information, tax invoices, and compliance documentation at any time.
11.4 If TENH100 is required by law or by a competent authority to withhold, report, or remit any amount in connection with seller transactions, TENH100 may do so and reflect the same in seller settlement records.
12. Returns, Refunds, Cancellations, and Customer Complaints
12.1 The seller agrees to comply with TENH100's return, refund, cancellation, customer complaint, and dispute handling policies, as updated from time to time.
12.2 The seller will be responsible for refunds, replacements, credits, compensation, or related costs where a claim arises from, without limitation:
- incorrect item supplied;
- damaged, defective, expired, unsafe, or non-conforming goods;
- inaccurate or misleading listing information;
- missing items or quantity errors attributable to the seller;
- counterfeit, unauthorized, or unlawful goods;
- late preparation, refusal to fulfill, or stock unavailability after acceptance; or
- packaging failure or seller-caused pickup issues.
12.3 TENH100 may issue refunds, credits, or adjustments to customers on the seller's behalf where TENH100 reasonably determines that such action is necessary to protect customers, resolve disputes, comply with law, protect the platform, or maintain service quality.
12.4 TENH100 may recover any such amounts from the seller by deduction, set-off, reserve withholding, or direct invoicing.
12.5 The seller must respond to customer complaints, evidence requests, and dispute inquiries within the timeframe specified by TENH100. Failure to respond may result in the dispute being resolved based on the available information.
13. Customer Data, Privacy, and Confidentiality
13.1 The seller may receive customer information only to the extent necessary to fulfill orders, provide customer support, process returns, and comply with legal obligations.
13.2 The seller may not:
- use customer data for unauthorized marketing or solicitation;
- sell, disclose, transfer, or exploit customer data except as necessary to fulfill platform transactions or as required by law;
- contact customers outside the platform except as authorized by TENH100 or reasonably necessary to complete an order; or
- retain customer data longer than necessary for legitimate business and legal purposes.
13.3 The seller must implement reasonable administrative, technical, and organizational safeguards to protect personal data and confidential information.
13.4 The seller must promptly notify TENH100 of any actual or suspected data breach, unauthorized disclosure, or security incident affecting customer data or platform information.
14. Intellectual Property and seller Content
14.1 TENH100 and its licensors own all rights, title, and interest in and to the Services, platform design, software, trademarks, logos, trade names, and related intellectual property.
14.2 The seller retains ownership of its trademarks, product images, descriptions, logos, and other content that it lawfully provides to TENH100 ("seller Content").
14.3 The seller grants TENH100 a non-exclusive, worldwide, royalty-free, sublicensable license during the term of these Terms to host, reproduce, adapt, display, distribute, translate, format, advertise, and otherwise use seller Content for the operation, promotion, support, and improvement of the Services.
14.4 The seller represents and warrants that it owns or controls all rights necessary to provide seller Content and that such content does not infringe any third-party rights or violate any law.
14.5 TENH100 may remove or disable any seller Content that violates these Terms, applicable law, third-party rights, or platform standards.
15. Acceptable Use and Platform Conduct
15.1 The seller agrees not to:
- violate any applicable law or regulation;
- impersonate any person or entity or misrepresent identity, affiliation, or authorization;
- upload malware, malicious code, or harmful content;
- interfere with the security, integrity, or operation of the Services;
- scrape, harvest, or extract data without authorization;
- manipulate reviews, ratings, search placement, or platform metrics;
- engage in fraud, abuse, collusion, money laundering, or deceptive conduct;
- abuse customers, driver partners, TENH100 staff, or other sellers;
- circumvent platform fees, processes, or systems; or
- solicit or divert customers off-platform in a manner prohibited by TENH100.
15.2 TENH100 may investigate suspected violations and take any action it deems appropriate, including warnings, listing removal, payout holds, account restrictions, suspension, termination, legal action, or referral to authorities.
16. seller Representations and Warranties
The seller represents, warrants, and undertakes that:
- it is duly organized or legally capable of entering into these Terms;
- it has full authority to accept these Terms and perform its obligations;
- all information provided to TENH100 is accurate, complete, and not misleading;
- its products are lawful, authentic, safe, sellerable where applicable, and fit for sale in the ordinary course;
- its listings are truthful and compliant;
- its products and content do not infringe any intellectual property, privacy, publicity, or other rights of any third party;
- it will comply with all applicable laws, regulations, standards, and licensing requirements; and
- it will perform its obligations in good faith and in a professional manner.
17. Disclaimer of Warranties
17.1 The Services are provided on an "as is" and "as available" basis.
17.2 To the maximum extent permitted by law, TENH100 disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of sellerability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or uninterrupted operation.
17.3 TENH100 does not guarantee that the Services will be uninterrupted, secure, error-free, or free from delays, loss, corruption, unauthorized access, or technical failures.
17.4 TENH100 does not guarantee sales volume, customer demand, listing visibility, delivery times, platform uptime, or business results.
18. Indemnification
18.1 The seller agrees to defend, indemnify, and hold harmless TENH100, its affiliates, officers, directors, employees, agents, contractors, and representatives from and against any claims, demands, actions, proceedings, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- the seller's products, listings, advertisements, or business operations;
- any breach of these Terms;
- fraud, negligence, misconduct, or unlawful acts by the seller or its personnel;
- product defects, safety issues, recalls, contamination, mislabeling, or regulatory violations;
- infringement or alleged infringement of any third-party rights;
- customer claims arising from the seller's acts or omissions; or
- the seller's failure to comply with applicable law.
19. Limitation of Liability
19.1 To the maximum extent permitted by law, TENH100 shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, loss of goodwill, loss of data, business interruption, or loss of opportunity, arising out of or related to these Terms or the Services.
19.2 To the maximum extent permitted by law, TENH100's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount of fees actually paid by the seller to TENH100 during the twelve (12) months preceding the event giving rise to the claim.
19.3 Nothing in these Terms shall exclude or limit liability to the extent such exclusion or limitation is not permitted under applicable law.
20. Suspension, Termination, and Effect of Termination
20.1 TENH100 may suspend, restrict, remove listings, withhold payouts, or terminate these Terms or the seller account immediately if:
- the seller breaches these Terms or platform policies;
- TENH100 suspects fraud, abuse, unlawful conduct, or security risk;
- the seller fails onboarding, verification, or compliance checks;
- the seller receives excessive complaints, refunds, cancellations, or poor service metrics;
- the seller sells prohibited, unsafe, counterfeit, or non-compliant goods; or
- TENH100 reasonably determines that continued access poses legal, reputational, operational, or customer risk.
20.2 The seller may stop using the Services and request account closure, subject to completion of outstanding orders, settlements, returns, investigations, and other obligations.
20.3 Upon suspension or termination:
- TENH100 may remove or disable listings and access;
- pending orders may be cancelled or otherwise managed at TENH100's discretion;
- payouts may be withheld for a reasonable period to cover refunds, chargebacks, claims, investigations, fees, and other liabilities; and
- provisions that by their nature should survive shall remain in effect, including payment obligations, tax obligations, indemnities, limitations of liability, confidentiality, dispute provisions, and record-related provisions.
21. Modifications to the Terms and Services
21.1 TENH100 may modify these Terms, policies, fee schedules, service features, or operational rules at any time.
21.2 Updated versions will become effective upon posting on the platform, dashboard, website, application, or other notice channel designated by TENH100, unless a later date is stated.
21.3 Continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms.
22. Governing Law and Dispute Resolution
22.1 These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia.
22.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Phnom Penh, Cambodia, unless otherwise required by applicable law.
22.3 Before filing formal legal proceedings, the parties shall attempt in good faith to resolve the dispute through written notice and commercial discussion.
23. Force Majeure
TENH100 shall not be liable for any delay, failure, interruption, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, labor disputes, telecommunications failures, power outages, cyber incidents, transportation disruptions, government actions, or failures of third-party providers.
24. Miscellaneous
24.1 These Terms, together with any incorporated policies, fee schedules, campaign rules, category requirements, and written commercial terms issued by TENH100, constitute the entire agreement between the parties regarding the seller's use of the Services.
24.2 No waiver by TENH100 of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
24.3 The seller may not assign or transfer these Terms or any rights or obligations hereunder without TENH100's prior written consent. TENH100 may assign these Terms at any time.
24.4 If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
24.5 Headings are for convenience only and do not affect interpretation.
